Lessons of 2008: Cheap Shares Ain't Cheap
Equity markets fell significantly in 2008. The correction has brought with it problems for investors who used "accumulator" structures to purchase "cheap" shares "cheap" currencies and "cheap" commodities. The structures are sold under various names. In financial markets as everybody knows there's little real innovation. A Risky LBO Play Investors looking for a high-risk LBO bet should examine radio content provider Westwood One (WON). In a note to investors today, Deutsche Bank wrote that the foundering company could become an LBO target. According to Deutsche, a new deal between CBS (CBS) and Westwood, which the two parties are currently negotiating, could entice a private equity firm to buy Westwood. Deutsche is confident that CBS and Westwood, which syndicates CBS Radio programming, will sign a deal. The firm forecasts that a new deal with CBS will likely be viewed as a positive development for Westwood. Private equity firms may also be enticed by the broadcasting company's substantial cash flow. In Q2, Westwood had $15.8M of free cash flow. But there are also plenty of factors that could make potential private equity buyers decide not to pursue Westwood. The company's results have been in a freefall, as advertisers desert radio for the Internet in droves. For example, Westwood's revenue in Q2 plunged 17.4% to $111.1M, versus $134.5M a year earlier. Private equity firms also will not be thrilled by Westwood's substantial long-term debt, which stood at $365.6M at the end of Q2. While the company has said that it believes its results will improve by Q4, competition from the Internet isn't going to go away, and overall advertising spending isn't likely to increase any time soon, as U.S. consumer spending seems to be declining. In addition, despite recent sharp declines in the share price, Westwood is still trading at 10.7 times its estimated 2008 earnings before interest, taxes, depreciation, and amortization (EBITDA), versus an average multiple of 8.3 for radio stocks as a whole, according to Deutsche. Westwood could be helped somewhat by a new device that gives advertisers more certainty about how many people are listening to each station (for more information about this development, see a blog we published on September 6), and the company does syndicate well-known political pundit Bill O'Reilly's show. But unless Westwood finds a few new popular radio personalities who can create a buzz and bring in new ad dollars, or the economy suddenly turns around, the company will have a hard time breaking out of its current malaise. Taking all these factors into account, an LBO of Westwood One seems possible, but not likely. Continuing drops in the company's share price seem more probable. |

CBS, Imus Settle Up A joint statement this morning said that CBS Corp (CBS) has settled an ongoing contract dispute with radio-show host Don Imus. CBS Radio first suspended Imus from "Imus in the Morning" in April after he made racially-insensitive comments about the Rutgers women’s basketball team. The remarks, which had angered CBS employees, civil-rights leaders and the general public, caused advertisers like General Motors (GM) and Procter & Gamble (PG) to call for Imus’s head. The wave of negative publicity led CBS to give him the boot one day after he was let go by NBC Universal. It is unclear how much CBS agreed to pay Imus, but CBS Radio spokeswoman Karen Mateo said a speculated $20M figure is "grossly false." Imus, which had signed a four-year, $40M contract before he was dismissed, had threatened to sue CBS for $120M for breach of contract. According to people familiar with the matter, the settlement may help pave the way for Imus to return to the airwaves in the future. In fact, the New York Times reported that the agreement between the two "does not set any restrictions on how long he must wait before restarting his morning show elsewhere." The settlement does, however, include a clause that prevents Imus from making slanderous statements about CBS CEO Leslie Moonves (and vice versa). Now that his reputation has been tainted, who would want Imus? Imus' former show was produced and broadcast by CBS on WFAN-AM radio and syndicated by Westwood One (WON), which CBS has an interest in. Additionally, the show had been broadcast on GE unit NBC Universal's MSBNC TV. After the shock jock's show was pulled from the air after complaints from advertisers and critics including the Rev. Al Sharpton, it looks unlikely CBS, and even MSNBC, would take him back. The Wall Street Journal points to rumors that Imus may end up at Citatel Broadcasting Corp's (CDL) WABC-AM, based in New York, which features on air personalities that include Sean Hannity and Rush Limbaugh. Walt Disney Co (DIS) sold WABC and other ABC radio stations to Citadel last year. If not Citadel, Imus could possibly move to a Clear Channel (CCU) station, although many of its stations have popular morning shows. Others rumored to be interested in Imus include Buckley Broadcasting's WOR AM station. Not that Imus' scarlet letter will go quietly into the night; if anything, new developments may delay Imus' potential comeback. This morning, ABC News reported that Rutgers Women's star center basketball player, Kia Vaughn, has filed the first civil suit against the former radio host, claiming libel, slander and defamation. The suit specifically names Imus and his producer, Bernard McGuirk, but also involves MSNBC, NBC Universal, CBS Radio, CBS Corp, Viacom Inc (VIA), Westwood One Radio. The complaint alleges that the networks that aired "Imus in the Morning" "wrongfully, intentionally, willfully...created, tolerated and maintained an atmosphere in which the making of outrageous statements and comments was acceptable, encouraged, and/or rewarded for many years prior to this occurrence and/or overtly encouraged the statements made." Ms. Vaughn is seeking monetary damages in an unspecified amount, and at least one lawyer, California civil trial lawyer Robert Baker, thinks she has a good shot at winning due to the "high visibility of Imus' comments." So far, a move to WABC, Clear Channel or WOR is just a rumor. WABC president and general manager Steve Borneman said yesterday that no one -- at WABC, ABC Radio Networks or Citadel -- has held talks with Imus. Then again, Imus could always take a note from shock jocks Howard Stern, now on Sirius Satellite Radio (SIRI), or Opie & Anthony, who had a show on XM Satellite Radio (XMSR), and make the move over to satellite radio. |

Film Producer and Founder of Destiny Worldwide Entertainment Bill Hillman
Interview excerpts -
When Destiny Worldwide Entertainment was created, we realized there were no film companies in Hollywood that were committed to building God’s Kingdom through entertainment. The ratio of R rated films verses G or PG rated films was outrageous and continues today. We set out to convince investors, distributors and theater owners that the public would come to see good films with strong story content that were entertaining without the usual blood, sex, violence, nudity and crude subject matters, and that the bulk of Hollywood films no longer stood as a guideline for children. Teaching morals, honesty and faith seemed a distant memory and yet as we surveyed audiences from all over the world, we discovered a global hunger for what has been called “old fashioned films” – films with great stories that provide pure entertainment values.
We felt if the major companies were not building a core family audience, we would. We should be responsible for what children and families are watching and we wanted to make a difference. We set out to create a Hallmark product – one that would become instantly known for its family product and entertaining family films – thus Destiny Worldwide Entertainment was formed. We know in our hearts that all of God’s children must replenish in their chosen fields and we understand how films and home video products can manipulate young minds. If we are to plant good seeds that will feed and nurture young minds – we have to find a way to entertain them as well. Is it possible to make a film that contains moral values, that does not contain violence, sex, nudity or crude behavior yet provide excitement, joy, thrills, and laughter and still be thoroughly entertaining? We said yes! Yes this is possible and we set out to prove it.
As we made our first couple of films we discovered well known actors and actresses enjoyed working for less money on projects aimed for the whole family. Our first film, “The Adventures of Ragtime,” starred Shelley Long, Jay Thomas, Justin Cooper, Perry King, a very talented miniature horse and a host of other well-known actors and actresses. Our second film, “Quigley” starred Gary Busey, Christopher Atkins, Curtis Armstrong and Oz Perkins, along with yet another group of well-known actors and actresses and a very talented dog. Both films are now being distributed around the world.
It's not just Hollywood, but now churches arerealizing how many people can be reached in one night in a film, televisionshowing or DVD rental. It's truly amazing to think about reaching out toplant seeds, do it within the body of entertainment, and go to sleep atnight knowing you had reached "someone.
When Christian Retailing got behind us on Quigley and The Adventures ofRagtime, we realized the hunger for quality projects is alive and well. When a small, direct to video film attracts audiences all over the world and sells over half a million DVD's, that hunger for moral and family-friendly projects is overwhelming. It tells us there is a continuing audience for films that tell stories, entertain, and avoid preaching - so the film medium has a multitude of lives - first theatrically, then DVD home video and finally television. Showtime and HBO have shown Quigley continuously overthe last year - worldwide.
We all know the G and PG rated films live on basically forever. Unlike R and PG-13 films, the G and PG rated film has a continual life that recycles itself.
When we chose A Choice To Cherish as our next project, we discovered how wonderful the storyline was. It's a great coming of age story with religion as a backdrop and not a subtle one at that. You don't feel you're being preached at, and still you come away from the book and the about to be produced film with a new understanding.
We always approach the private sector for investments and we do it for many reasons; control of the project so it will remain true to the originalsource to give the investor a positive role in accomplishment and pride, and to provide the investor with a sense of doing the right thing for many people. When investors leave a legacy of doing something they and their loved ones will be proud of for many years, there is a feeling deep insidethat no amount of money or accomplishment can duplicate.
Most of our projects involve many people from all walks of life, as we always provide information, open books and constant communications. Making films is fun, can be very profitable and provides a boost in self-esteem.
How many times have we read over the past year or two, professional basketball, baseball, and football players are investing in films? Firstyou ask yourself why? The answer always comes back that they wanted to say something and couldn't think of a better way to reach the population than through the media, a film or DVD.
We enjoy sharing, both the glory and the profit to make the process a win-win every time we produce a film. The other day someone asked me how we make films and use investments. I told him we usually use small minimums so virtually all qualified investors can participate with minimal risk, and all those who participate can always come to the set, see how the process works, take pictures, feel involved, voice opinions, and come away feeling like it is their project - something they are very proud of.
We always provide an information package that usually answers most questions. We actually have had some investors that leave the profits to their charity where more seeds are planted to spread the word. We enjoy talking to people, answering questions, and hoping they will one day realize that film production is more than just making a film. If the story is powerful, has true meaning and the ability to educate and entertain, then the film will live, breath, and reach the populace one way or another.
We would hope all of your listeners would entertain the idea of film production participation. Reach out and find those doing good things and ask how they are getting involved. The stock market has great flexibility, some young start-up company's work, some don't, but in the low-budget filmmaking process, few films fail when the story has meaning and the project is well done. We thrive on strong casting, creating commercial music scores that move the soul, and communicating with Christian outlets to let them know we are coming.
